Content Creation and Confidentiality Agreement

1. Scope of Work

The Content Creator will produce and deliver content as outlined in the scope of work, which may include, but is not limited to, writing, designing, video creation, social media management, or other marketing materials (the "Content"). The specific deliverables and deadlines shall be outlined in a separate statement of work (SOW) or project plan.

2. Confidential Information

For the purposes of this Agreement, "Confidential Information" includes, but is not limited to:

  • Client's passwords, account credentials, and other access information.

  • Marketing and advertising campaign strategies, plans, or techniques.

  • Financial information, business operations, and other sensitive materials.

  • Any other proprietary or confidential information provided by the Client to the Content Creator, whether orally, in writing, or electronically, that is marked as confidential or is reasonably understood to be confidential under the circumstances.

3. Non-Disclosure

The Content Creator agrees to maintain the strict confidentiality of all Confidential Information provided by the Client. Specifically, the Content Creator will not:

  • Disclose any Confidential Information to any third party without the prior written consent of the Client.

  • Use any Confidential Information for purposes other than those specifically required for the completion of the content creation services outlined in this Agreement.

  • Retain or copy any Confidential Information once the content creation project is completed or terminated, unless agreed upon in writing by the Client.

4. Security of Information

The Content Creator will take reasonable and necessary precautions to safeguard and protect the Client's Confidential Information from unauthorized access, loss, theft, or disclosure. These precautions include, but are not limited to, password protection, encryption, and secure storage of materials.

5. Ownership of Content

All content created by the Content Creator for the Client, including text, images, videos, designs, and other materials, will be considered "work for hire" and will be the exclusive property of the Client upon full payment. The Content Creator agrees not to use, distribute, or disclose any of the Content to third parties unless expressly authorized by the Client.

6. No Unauthorized Sharing of Information

The Content Creator expressly agrees not to share, transfer, or give access to the Client’s login credentials, passwords, marketing strategies, or any other internal Client information to any third party. Any request for such information must be directed to the Client for approval.

7. Duration of Confidentiality Obligation

The confidentiality obligations under this Agreement shall remain in effect indefinitely, both during and after the termination of the content creation services, and the Content Creator will continue to protect and keep confidential all proprietary and confidential information received from the Client.

8. Breach of Confidentiality

In the event of a breach of this Agreement by the Content Creator, the Client reserves the right to seek legal recourse, including but not limited to injunctions, damages, or other remedies available under law. The Content Creator acknowledges that any unauthorized disclosure or misuse of Confidential Information could cause irreparable harm to the Client.

9. Termination

Either party may terminate this Agreement by providing "14 days’ written notice". Upon termination, the Content Creator shall promptly return or destroy all Confidential Information in their possession and cease use of any materials related to the Client’s business.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of laws principles.

11. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior or contemporaneous agreements, representations, and warranties, whether written or oral, relating to the subject matter of this Agreement.
